Terms of use

These Terms of Use (the "Terms") apply to naumio.com and its pages (the "Site"). The Site is run by MTA ULTRA IT LLC, a Florida limited liability company doing business as Naumio, 8835 SW 107th Avenue #1033, Miami, FL 33176 ("Naumio," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. What the Site is

The Site describes Naumio's AI help for businesses and independent pros: building AI assistants and tools, organizing inquiries, preparing replies for a team to review, and related services. The Site is for information. It does not create a client relationship. You contact us by email, and you choose when to send.

2. How services are bought

2.1 Project work. Custom work is done only under a written quote or agreement that we both accept (for example a Master Services Agreement and a Statement of Work, or a short Service Order). That written agreement controls the work, price, and timing. These Terms do not.

2.2 Paid services and subscriptions. Some Naumio services are sold through Stripe-hosted checkout pages operated for MTA ULTRA IT LLC d/b/a Naumio. One-time services are charged once. Monthly plans (currently Weekly Mention Digest, Automation Care Plan, and Fractional Senior IT Retainer) renew automatically each month until canceled. Before you pay, the checkout page shows the price and billing frequency, and you are asked to agree to the renewal and cancellation terms in Section 3. You can cancel a monthly plan at any time by emailing sales@naumio.com (or from your billing portal, if one is offered to you); cancellation stops future charges and service continues to the end of the paid month. Payments are processed by our payment processor, Stripe; Naumio does not store your full card number.

2.3 Ongoing costs. Any software or service costs that continue after a project (for example a subscription to a third-party tool) are shown separately before you agree to them.

3. Monthly plans: automatic renewal terms

This Section applies only if you buy a Naumio plan that renews automatically, such as the Weekly Mention Digest, the Automation Care Plan, or the Fractional Senior IT Retainer.

3.1 Price and billing. Current monthly prices are: Weekly Mention Digest, $79 per month; Automation Care Plan, $149 per month; Fractional Senior IT Retainer, $1,500, $2,500, or $3,500 per month depending on the tier you choose. Applicable tax, if any, is added. Your first charge is on the day you sign up, and you are charged the same amount again on the same date each month until you cancel.

3.2 What is included. What each plan includes is described on its checkout page and in your order confirmation or written agreement with us. A plan does not include new projects, new features, or third-party tool fees unless that description says so.

3.3 Minimum term. There is no minimum term unless your signed written agreement with us states one. If it does, that agreement controls.

3.4 Your consent. At checkout, you will be asked to agree to these automatic renewal terms before you are charged. We will email you a confirmation with the price, the billing date, and how to cancel.

3.5 How to cancel. You can cancel at any time before your next billing date:

We will confirm the cancellation by email. Cancellation stops all future charges. Your plan stays active through the end of the month you already paid for. Payments already made are not refunded for a partial month, except where required by law.

3.6 Price changes. We will email you at least 30 days before any price change takes effect. If you do not want the new price, you can cancel before it starts.

3.7 Failed payments. If a payment fails, we may pause the plan until payment is made.

3A. $297 AI Workflow Setup

3A.1 What it is. The $297 AI Workflow Setup is a one-time service, not a subscription. For $297 USD, paid once through a Stripe-hosted checkout page, we set up AI to help with one task you repeat, in the tools you already use. We test it with you on safe, made-up examples, give you a short written how-to (including how to pause it or remove its access), and give you a 14-day fix window after your setup is live.

3A.2 Scope first. We send you a short written scope within 1 business day after you pay. It names the one task, what the AI will do, what it can see, which tools it connects to, and when it stops and asks you. No work starts until you say yes to the scope. Nothing goes out and no record changes until you approve it. If what you need is bigger than one task, we tell you and talk about a custom quote instead. If your task needs an outside paid tool, we show that cost in your written scope before we build. Timing: usually a first result within 5 business days after you OK the written scope; this is a typical time, not a guarantee.

3A.3 Refunds. Full refund any time before work starts; we send it within 3 business days. Your bank may take longer to show the refund. If we don't hear back within 10 business days of sending scope, we email twice, then refund in full. The optional Automation Care Plan ($149 a month) is separate, only starts if you choose it, and follows Section 3. Work starts when we begin building your setup. We email you before work starts and wait at least 1 business day after that email; reply "cancel" in that time for a full refund. If we find we cannot deliver what your written scope says, we tell you and refund the full $297. After work starts, the $297 is not refundable except as stated in this Section or as the law requires. Fix window. For 14 days after we tell you your setup is live, we fix anything that does not work the way your written scope says, at no extra cost. New tasks or changes beyond the scope are not included; we can quote them.

3A.4 Contact. To ask a question, approve your scope or cancel before work starts, email sales@naumio.com. We reply within 1 business day.

4. AI output disclaimer

Naumio builds and uses artificial intelligence tools. AI can make mistakes, including stating wrong facts with confidence. Any example, answer, or output from an AI tool on the Site or built by Naumio is a starting point for a person to review, not a final decision. Do not rely on AI output for legal, tax, medical, financial, or safety decisions without checking with a qualified professional. You are responsible for reviewing outputs before you use them or send them to others, unless a signed agreement with us says otherwise.

5. What to send us

Please use made-up examples when you first contact us. Do not send passwords, or private customer, patient, or financial records, by email or through the Site. If a project needs real data, we will agree with you in writing on a safe way to handle it.

6. Acceptable use

You agree not to: (a) use the Site in violation of any law; (b) try to break, overload, scan, or gain unauthorized access to the Site or its hosting; (c) scrape or copy the Site in bulk, including to train AI models, without our written permission; (d) send malware or spam; or (e) impersonate Naumio or anyone else.

7. Intellectual property

The Site, its text, design, graphics, logos, and the NAUMIO name belong to Naumio or its licensors. You may view and share links to the Site for personal or internal business use. You may not copy, change, or reuse Site content for other purposes without our written permission. Third-party names and logos belong to their owners.

8. Links to other sites

The Site links to other sites and services, such as X, Instagram, YouTube, and our payment processor. We do not control them, and their own terms and privacy policies apply.

9. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, NAUMIO DISCLAIMS ALL WARRANTIES ABOUT THE SITE, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Warranties for paid services, if any, are only those stated in the written agreement or checkout terms for that service.

10. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, NAUMIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE, AND OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). This Section does not limit liability that cannot be limited by law, and it does not change the liability terms of any signed services agreement.

11. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute about the Site will be brought in the state or federal courts located in Miami-Dade County, Florida, and you and Naumio agree to their jurisdiction. If you are a consumer, this does not take away any rights you have under the laws where you live that cannot be waived.

12. Text message program

Program: Naumio assistant alerts and replies (automated messages from Naumio's AI assistant software). Currently open only to Naumio's owner.

Consent is not a condition of any purchase. We do not send marketing texts from this number.

13. Changes

We may update these Terms. The "Last updated" date shows the latest version. Changes do not apply to a paid plan's renewal price except as described in Section 3.6.
